This Terms of Service Agreement (“Agreement”) constitutes a legally binding contract between Stratos, a sole proprietor operating under the laws of England and Wales (“Stratos,” “we,” “us,” or “our”), and you, the client, whether an individual or acting on behalf of an entity (“Client” or “you”). This Agreement governs your access to and use of our website (www.stratoswebdesign.com, the “Website”) and our subscription-based Webflow design and development services (“Services”). By subscribing to our Services or accessing the Website, you agree to comply with and be bound by this Agreement. If you do not agree to these terms, you must not use the Website or Services and should cease use immediately.
Stratos provides unlimited Webflow design and development services for a fixed monthly or quarterly subscription fee. The Services include:

Definition of “Unlimited”: You may submit unlimited design and development requests, which we process one at a time on a first-come, first-served basis. You may adjust the priority of your requests. While we strive to complete requests promptly, timelines vary based on project complexity (e.g., smaller tasks are typically completed faster, while full websites or landing pages may take longer). We do not guarantee completion within 1–2 days. If your request volume creates a backlog exceeding what can reasonably be completed in a month, we cannot guarantee all tasks will be completed within that month. We reserve the right to manage workloads to ensure equitable service delivery across all clients.
Unless otherwise specified, the Website and all its content, including text, images, designs, and code (collectively, “Content”), are owned by Stratos and protected by UK and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or use the Content for commercial purposes without our prior written consent, except as permitted in this Agreement.
Upon full payment, you own all website designs, code, and deliverables created for you as part of the Services (“Projects”). Stratos assigns all rights in the Projects to you without limitation. You confirm that any materials you provide (e.g., logos, text, images) are either owned by you or you have permission to use them, and they do not infringe on any third party’s intellectual property or publicity rights.
We reserve the right to display your Projects in our portfolio, on our Website, or on social media to promote our services, unless you request otherwise in writing or we enter into a non-disclosure agreement (NDA). We will comply with reasonable requests to maintain the confidentiality of your Projects.
If a Project incorporates fonts, images, or other materials requiring a commercial license for your use, reproduction, or display (“Third-Party Materials”), we will notify you in writing. You are responsible for obtaining the necessary licenses from the rights-holders. Stratos is not liable for any consequences arising from your failure to secure such licenses.

Pricing:
Currency and Taxes: All prices are in US dollars (USD) and exclude VAT, as Stratos is not VAT-registered. You are responsible for any applicable local taxes.
Payment: Payments are processed through Stripe, and you agree to comply with Stripe’s terms of service for payment processing. Subscriptions automatically renew until canceled.
Failed Payments: If a payment fails, you have a 5-calendar-day grace period to resolve the issue. If payment is not received within this period, we may suspend Services until payment is made.
Cancellation: You may cancel your subscription at any time by contacting us at hello@stratoswebdesign.com or through your Stripe account. Monthly plans have no minimum commitment. Quarterly plans are billed for the full three-month period, and cancellation takes effect at the end of the current billing cycle.
Refunds: Refund requests are evaluated on a case-by-case basis at our sole discretion. Refunds are not guaranteed for partial months, quarters, or unused Services. If a refund is approved, any materials produced by Stratos remain our property and may not be used by you. We may deduct a reasonable fee (e.g., for work completed or Stripe transaction fees) from any refund. We reserve the right to pursue legal action if you breach this refund policy.
Your personal data is handled in accordance with our Privacy Policy, available at www.stratoswebdesign.com/privacy-policy. By using the Services, you consent to our collection, use, and storage of your data as outlined in the Privacy Policy. We comply with the UK General Data Protection Regulation (UK GDPR) and, where applicable, US data protection laws (e.g., California Consumer Privacy Act). You consent to the transfer and processing of your data in the UK. We do not knowingly collect data from individuals under 18 years of age.
Warranties: Stratos warrants that the Services will be performed with professional skill and care, and that deliverables will function as intended on the Webflow platform upon delivery.
Disclaimers: The Services and Website are provided on an “as-is” and “as-available” basis. We do not guarantee that the Services will result in increased website traffic, sales, signups, or other outcomes beyond our reasonable control. We are not responsible for errors, interruptions, or issues caused by third-party platforms (e.g., Webflow) or your failure to provide required materials. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, Stratos’s liability for any claim arising from this Agreement or the Services (e.g., errors, delays, or losses) is limited to the total amount you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, incidental, or special damages, including but not limited to lost profits, revenue, or data, even if advised of the possibility of such damages. You agree to indemnify, defend, and hold harmless Stratos from any claims, losses, or damages (including reasonable legal fees) arising from your use of the Services, breach of this Agreement, or violation of third-party rights (e.g., using unlicensed content).
This Agreement is governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. If a dispute arises, we will attempt to resolve it through good-faith negotiation or mediation. If mediation is unsuccessful, disputes will be resolved in the courts of England and Wales, and you consent to their exclusive jurisdiction and waive any objections to venue.
We may modify this Agreement at our discretion. Updated terms will be posted on our Website, and we will notify you via email or upon your next subscription renewal. Your continued use of the Services after such changes constitutes acceptance of the revised Agreement.
We do not guarantee uninterrupted access to the Website or Services. Interruptions may occur due to technical issues, maintenance, or third-party platform downtime (e.g., Webflow). Stratos is not liable for any inconvenience, loss, or damage resulting from such interruptions.
You consent to receive communications from us electronically, including via email or Website notices. All agreements, notices, or disclosures provided electronically satisfy any legal requirement for written communication.
This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Stratos regarding the Website and Services. If any provision of this Agreement is found to be unlawful or unenforceable, that provision will be severed, and the remaining provisions will remain in effect. Our failure to enforce any right or provision does not constitute a waiver of that right. You may not assign or transfer your subscription without our prior written consent. This Agreement does not create a partnership, employment, or agency relationship between you and Stratos.
